Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Custom Collaborations platform, website (customcollaborations.com), mobile applications, and all related services (collectively, the “Platform”) operated by Custom Collaborations LLC (“CC,” “we,” “us,” or “our”). By creating an account, accessing, or using the Platform, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not use the Platform.
2. Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements. You must provide accurate, current, and complete information during registration and keep your account information updated.
3. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Provide a valid, verified email address during registration
- Choose a unique username that does not impersonate another person or entity
- Not create multiple accounts (each individual is permitted one account)
- Notify us immediately of any unauthorized use of your account
4. Platform Description and Services
Custom Collaborations is a platform that enables individuals to collaborate on revenue-generating projects. The Platform provides tools for team formation, project management (including chat, task management, and file sharing), revenue tracking, and automatic revenue distribution among project members. CC is not an employer, staffing agency, or investment platform. CC facilitates collaboration and revenue splitting between independent users.
5. Revenue Model and Payment Terms
5.1 Revenue Split
For revenue-generating projects on the Platform, the revenue split is as follows: 95% of project revenue is distributed to contributing team members (“Contributor Share”), and 5% of project revenue is retained by Custom Collaborations LLC (“Platform Fee”). The Contributor Share is divided equally among all active project members, with the Project Lead receiving a 1.5x multiplier on their share.
5.2 Lead-Deposited Revenue Model
Under the lead-deposited model, the Project Lead is responsible for reporting and depositing project revenue. CC verifies revenue through API connections to third-party platforms (YouTube, Shopify, Etsy, App Store Connect, Google Play, etc.) where available. Project Leads who fail to accurately report revenue or fail to make required deposits are subject to the escalation process described in Section 10.
5.3 Payouts
Payouts are processed via ACH bank transfer to the bank account linked to your CC account. You are responsible for providing accurate banking information. CC is not responsible for failed transfers due to incorrect banking information. Minimum payout threshold and payout frequency are determined by CC and may change with notice.
5.4 Escrow Deposits
For lead-deposited projects exceeding $500 per month in revenue, the Project Lead may be required to deposit a refundable security escrow equal to one month of estimated team payouts. Escrow deposits are refundable upon project completion, clean leadership transfer, or after six (6) months of good standing. Escrow may be forfeited in cases of non-payment or account suspension.
5.5 Taxes
You are solely responsible for all taxes arising from your use of the Platform, including income earned through project revenue. CC may issue IRS Form 1099 to users who earn above the applicable threshold. CC does not provide tax advice.
6. Project Roles and Responsibilities
6.1 Project Leads
The Project Lead is the user who creates or imports a project. Project Leads are responsible for:
- Managing the project, including team composition, tasks, and direction
- Accurately reporting and depositing revenue (for lead-deposited projects)
- Connecting revenue source APIs for verification where applicable
- Signing the Ownership Transfer Acknowledgment for imported revenue projects
6.2 Project Members
Project Members are users who join a project. Members contribute skills, labor, or resources to the project. All active members share in the project's revenue according to the revenue split described in Section 5. Members may leave a project at any time but forfeit any unvested earnings.
7. Non-Circumvention Agreement
THIS IS A MATERIAL TERM OF THESE TERMS OF SERVICE. By using the Platform, you agree that you will not engage in revenue-generating projects, business arrangements, direct payment arrangements, side projects, freelance work, or any other collaboration that bypasses the Custom Collaborations Platform with members you connected with through the Platform, for a period of twelve (12) months after your last interaction with those members on the Platform.
Violation of this non-circumvention agreement may result in immediate account suspension, forfeiture of all pending earnings, and legal action by Custom Collaborations LLC to recover damages, including but not limited to the revenue that would have been earned by CC had the collaboration occurred on the Platform.
8. Ownership Transfer and Intellectual Property
8.1 Imported Projects
When a Project Lead imports an existing revenue-generating project, they must sign an Ownership Transfer Acknowledgment. This agreement grants Custom Collaborations LLC the right to manage, track, and distribute revenue from the project on behalf of all team members. The Project Lead retains creative and operational control of the project.
8.2 User Content
You retain ownership of all content you upload to the Platform (files, messages, code, designs, etc.). By uploading content to a project workspace, you grant all active members of that project a non-exclusive license to view, download, and use that content for the purposes of the project. You grant CC a non-exclusive, worldwide license to host, store, and display your content as necessary to operate the Platform.
8.3 Project Intellectual Property
Intellectual property created collaboratively within a project is jointly owned by all active members of that project at the time of creation, unless otherwise agreed in writing by all members. CC does not claim ownership of any project intellectual property.
9. Enforcement and Dispute Resolution
9.1 Payment Failures
If a Project Lead fails to deposit required revenue, the following escalation process applies:
- Days 1–7: Grace period (Lead is notified)
- Days 8–15: Project is frozen (all members notified)
- Days 16–30: Public warning added to the project and Lead's profile
- After 30 days: Account suspension (escrow used to cover team payouts if applicable)
9.2 Revenue Disputes
Any project member may file a revenue dispute through the Platform. Disputes are reviewed by CC's administrative team. The identity of the reporting member is kept confidential from the Project Lead. CC reserves the right to freeze projects, suspend accounts, or take other action as necessary to resolve disputes.
9.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State in which Custom Collaborations LLC is registered, without regard to conflict of law principles.
10. Account Deletion
You may request deletion of your account at any time. Account deletion is subject to the following conditions:
- All outstanding revenue balances must be settled before deletion
- If you are a Project Lead, leadership will be automatically transferred to the next eligible member upon your departure
- Upon deletion, your personal data will be anonymized in accordance with our Privacy Policy
- Your contributions to projects (messages, files, task history) may be retained in anonymized form
11. Prohibited Conduct
You agree not to:
- Create multiple accounts or use false identities
- Misrepresent your skills, subscriptions, or qualifications
- Under-report, falsify, or conceal revenue
- Disconnect or revoke API access to obstruct revenue verification
- Harass, threaten, or abuse other users
- Upload malicious code, viruses, or harmful content
- Use the Platform for any illegal activity
- Circumvent the Platform to engage in off-platform arrangements with users you met through CC
12. Limitation of Liability
To the maximum extent permitted by law, Custom Collaborations LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. CC's total liability shall not exceed the amount of Platform Fees collected from your projects in the twelve (12) months preceding the claim. CC is not liable for actions or omissions of other users, including but not limited to a Project Lead's failure to deposit revenue.
13. Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied. CC does not guarantee that any project will generate revenue, that any user will perform their obligations, or that the Platform will be uninterrupted or error-free. CC is not an employer, recruiter, financial advisor, or investment platform.
14. Modifications to Terms
CC reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the Platform at least thirty (30) days before taking effect. Continued use of the Platform after the effective date of modifications constitutes acceptance of the updated Terms.
15. Termination
CC reserves the right to suspend or terminate your account at any time for violation of these Terms, including but not limited to: non-circumvention violations, revenue fraud, harassment, or other prohibited conduct. Upon termination, you remain liable for any outstanding obligations, including unpaid revenue balances. The non-circumvention agreement (Section 7) survives termination.
